End User License Agreement
Version 1.2 · Effective October 8, 2026
This Agreement is between you and Astral Audio LLC, a Connecticut limited liability company (“Astral Audio”, “we”, “us”), and governs your use of the Astral Adapt software plugin, including updates, documentation, and factory content supplied with it (the “Software”).
By purchasing, installing, activating, or using the Software, you agree to this Agreement. If you do not agree, do not install, activate, or use the Software, and see our Refund Policy.
These commercial terms were reviewed with legal counsel as of August 11, 2026. This review does not constitute a guarantee of compliance in every jurisdiction.
1. Licence grant
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the Software. The licence does not expire and carries no recurring fee. It continues subject to this Agreement and may be suspended or ended only as described in section 11.
2. What you may do
2.1 You may use the Software for personal and commercial music production — composing, recording, performing (including live performance), producing, mixing, mastering, client work, and studio work, and to create audio for commercial release.
2.2 The audio you make is yours. We claim no ownership of, and no royalty, licence, or other right in, any audio, recording, composition, or performance you create using the Software. You need no permission from us to monetise, distribute, broadcast, sync, or perform it.
2.3 Presets you create or save are yours, and you may share or sell them. Factory presets and factory content supplied with the Software remain ours and may not be redistributed on their own or as part of a preset library.
2.4 This licence is granted to a single individual. Where an organisation purchases, the licence is granted to a single named individual within it, who may use it on their three activations. Additional individuals require additional licences.
3. Computers and activations
3.1 You may keep the Software activated on up to three (3) computers at the same time.
3.2 You may deactivate an activation from within the Software at any time to free a slot. If a computer is lost, sold, or damaged, contact licensing@astralaudioai.com and we will release the slot.
3.3 Activation sends us your licence key, purchase email address, operating system, plugin version, and a pseudonymous device identifier. That identifier is calculated on your computer from a hardware identifier combined with a code specific to Astral, and then hashed; the underlying hardware identifier is never transmitted and we never receive it. The identifier is pseudonymous rather than anonymous — it is stable and tied to one computer, and we treat it as personal information. See our Privacy Notice.
3.4 You must not attempt to exceed the activation limit, including by altering, spoofing, or interfering with the device identifier.
4. Internet, certificates, and offline use
The Software is licensed using a cryptographically signed certificate stored on your computer.
4.1 Initial activation requires an internet connection, once for each computer.
4.2 After activation the Software works offline for up to 180 days from its most recent successful renewal.
4.3 From day 60 the Software renews its certificate quietly in the background whenever you are online. In ordinary use you will not notice this.
4.4 If renewal has not been possible, a further 14-day grace period follows, during which the Software works normally.
4.5 When that grace period ends the Software enters Project Recovery Mode (section 5). Connecting to the internet and completing a renewal restores full function.
4.6 You acknowledge that occasional internet connectivity is a condition of continued full use, and that the Software is not designed for indefinite disconnected operation.
5. Project Recovery Mode
5.1 If the Software cannot confirm a current licence — because a certificate has expired, is missing, cannot be read, belongs to a different computer, or because our licensing service cannot be reached — it enters Project Recovery Mode.
5.2 In Project Recovery Mode your saved projects continue to play back and render with the sound you saved. Audio processing, effect tails, and parameter automation continue to work.
5.3 We will not mute, bypass, silence, degrade, reset, or otherwise alter the audio of a saved project as a way of enforcing licensing. A licence problem affects what you can create and change. It does not affect the sound of work you have already made.
5.4 Available in Project Recovery Mode: audio playback and rendering; parameter adjustment, including host automation; saving and exporting your own presets; and activating, recovering, or deactivating your licence.
5.5 Unavailable until your licence is restored: generating, refining, and adapting tones; changing the signal chain; and loading factory presets or imported preset files.
6. Ownership
6.1 The Software is licensed, not sold. We and our licensors keep all right, title, and interest in it, including its source code, algorithms, factory content, interface designs, names, and logos.
6.2 You receive only the rights expressly granted. No other rights arise by implication.
6.3 Third-party product, instrument, artist, and manufacturer names that may appear in the Software or its documentation belong to their respective owners and are used only to describe character, compatibility, or context. Their use does not imply endorsement, affiliation, or sponsorship.
6.4 The Software includes third-party components supplied under their own licence terms. Those terms are made available with the Software and prevail over this Agreement for those components only.
7. What you may not do
You must not, and must not allow anyone else to:
(a) copy, distribute, publish, upload, share, lend, rent, or lease the Software, or otherwise make it available to any third party, except reasonable personal backups;
(b) resell, transfer, or assign the Software or your licence — alone, with hardware, or as part of a business — without our prior written consent;
(c) sublicense the Software or grant anyone else rights in it;
(d) share, publish, or disclose your licence key or any activation credential, or use a key you did not lawfully obtain;
(e) reverse engineer, decompile, or disassemble the Software, or otherwise attempt to derive its source code, algorithms, or underlying structure, except where applicable law expressly prohibits this restriction, and then only so far as that law allows;
(f) modify, adapt, translate, or create derivative works of the Software;
(g) tamper with, disable, bypass, or circumvent the Software’s licensing, activation, certificate verification, or device identification, or use, distribute, or publish any tool or method intended to do so;
(h) forge, alter, or attempt to produce a licence certificate, signing key, or activation record;
(i) redistribute factory presets or factory content separately from the Software;
(j) remove or obscure any copyright, trademark, or proprietary notice; or
(k) use the Software in breach of applicable law.
7.2 You acknowledge that a breach of this section would cause harm that money alone cannot adequately remedy, and that we may seek injunctive or equitable relief in addition to any other remedy.
8. Updates
8.1 Minor updates are free. A minor update is any release carrying the same major version number as the release you purchased. If you purchase a version 1.x release, you receive all 1.x updates at no additional charge.
8.2 Major-version upgrades — releases increasing the major version number — may be priced separately. Nothing here entitles you to a major-version upgrade free of charge.
8.3 We may add, change, or remove features in updates. We do not commit to supporting any particular operating system version, host application, plugin format, or hardware indefinitely, and compatibility with future versions is not guaranteed. Section 8.1 is a commitment to make minor updates available at no charge, not a commitment to produce updates, maintain compatibility, or support the Software for any particular period.
8.4 Updates are covered by this Agreement unless supplied with different terms.
9. Supported systems
9.1 The Software is currently supported as AU and VST3 on macOS (Apple Silicon), and VST3 on Windows x64. Plugin formats differ by platform, and the formats listed for a platform are the only ones supplied for it.
9.2 Other platforms may be described as planned. Planned platforms are not a commitment, and you should not purchase in reliance on any platform not listed as supported when you buy.
10. Support and licensing service
10.1 We provide email support and will use commercially reasonable efforts to help with installation, activation, licence recovery, and technical problems.
10.2 Support is by email only. We do not guarantee a response time, availability, or that any problem will be resolved.
10.3 We can re-send your original licence key for 30 days after issue. After that our stored copy is permanently deleted, and recovering a lost licence means issuing a replacement key — at which point your previous key stops working.
10.4 Licensing service. Activation and renewal depend on our online licensing service. We do not guarantee uninterrupted availability. If we decide to discontinue the service, we will give at least 90 days’ notice to your purchase email address where we hold a valid address, and will use commercially reasonable efforts to provide a means of continued use that does not depend on the service. Nothing in this section obliges us to operate the service indefinitely.
11. Suspension, termination, and reinstatement
11.1 This Agreement starts when you first install, activate, or use the Software and continues until ended under this section.
11.2 You may end it at any time by deactivating all activations and stopping use.
11.3 Suspension. Your entitlement may be suspended — meaning activation and renewal are refused while any current certificate runs out its remaining period — where: (a) a payment dispute or chargeback is open on your purchase and has not been resolved; or (b) the payment records for your licence are missing, incomplete, or inconsistent. Suspension is not termination. It is intended to be temporary, and we will reinstate your entitlement once the underlying matter is resolved. If you believe a suspension is mistaken, contact support@astralaudioai.com.
11.4 Termination. This Agreement and your licence end if: (a) you materially breach this Agreement, in particular section 7; (b) your purchase is refunded in full; (c) a payment dispute or chargeback is resolved against us; or (d) payment for your purchase is reversed. A partial refund does not affect your licence.
11.5 Revocation. We may revoke a licence where we reasonably believe there has been fraud, unauthorised acquisition, licence-key sharing, circumvention of licensing, or unlawful use. We will notify your purchase email address and, except in cases of suspected fraud or where the law requires otherwise, give you 14 days to explain or correct the matter before revocation takes effect.
11.6 Reinstatement. If a dispute is resolved in our favour or withdrawn, or if suspended payment records are corrected, your entitlement is reinstated automatically and you do not need to purchase again. If your licence was revoked and you believe it was in error, contact support@astralaudioai.com.
11.7 What happens in the Software. Where entitlement is suspended or ended, the Software stops permitting new creation and editing either at its next successful licence check or when its current certificate period ends, whichever comes first. Because of the offline periods in section 4, this may not happen immediately.
11.8 Your rights after termination. When this Agreement ends, the licence in section 1 ends and you must stop installing, activating, and using the Software, except as section 11.9 allows.
11.9 Limited right to finish your existing work. Because we will not damage work you have already made, you keep a limited, non-exclusive, non-transferable right, after termination, to open, play back, render, and export projects you created or last saved before termination, together with the parameter adjustment needed to do so. This right does not permit you to create new projects, change the signal chain, load factory or imported presets, install the Software on additional computers, or transfer the Software to anyone else. It is not a licence to the Software generally, and it ends immediately if you use it to circumvent licensing or otherwise breach section 7.
11.10 Sections 2.2, 2.3, 6, 7, 11.8, 11.9, 12, 13, 14, and 15 continue to apply after this Agreement ends, as do any rights or liabilities already accrued.
12. Disclaimer of warranties
12.1 The Software is provided “as is” and “as available”, without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
12.2 We do not warrant that the Software will be uninterrupted or error-free; that it will work with any particular host application, operating system, driver, or hardware; that defects will be corrected; or that our licensing service will be continuously available.
12.3 You are responsible for maintaining backups of your projects and audio work. Audio software can fail, and you should not rely on any single tool.
12.4 Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you. Nothing in this Agreement excludes or limits any warranty or right that cannot lawfully be excluded or limited, including your mandatory rights as a consumer.
13. Limitation of liability
13.1 To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, projects, recordings, audio work, goodwill, or business opportunity, however caused.
13.2 To the fullest extent permitted by law, our total liability arising out of or relating to the Software or this Agreement will not exceed the total amount you paid for the Software, net of any refunds.
13.3 These limits apply even if a remedy fails of its essential purpose.
13.4 Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
14. Your indemnity
To the extent permitted by law, you will indemnify us against claims, losses, and reasonable costs arising from your breach of section 7, your unlawful use of the Software, or your infringement of a third party’s rights through your use of it. This does not apply to anything caused by us, and does not limit your rights as a consumer.
15. General
15.1 Governing law. This Agreement is governed by the laws of the State of Connecticut, United States, without regard to conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
15.2 Venue. You and Astral Audio submit to the exclusive jurisdiction of the state and federal courts located in Connecticut. If you are a consumer, this does not deprive you of the protection of the mandatory consumer law of the country where you live, or of any right to bring proceedings in the courts of that country where that right cannot lawfully be excluded.
15.3 Export and sanctions. You confirm you are not located in, and will not use or export the Software in breach of, any applicable export-control or sanctions law.
15.4 Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control.
15.5 Notices. We will send notices to your purchase email address. You may send notices to general@astralaudioai.com or to the postal address below.
15.6 Severability. If any provision is unenforceable it will be modified to the least extent needed, or removed if that is not possible; the rest continues to apply.
15.7 Assignment. You may not assign or transfer this Agreement or your licence without our prior written consent, and any attempt to do so is void. We may assign in connection with a merger, acquisition, reorganisation, or sale of substantially all of our assets.
15.8 No waiver. Failure to enforce a provision is not a waiver of it.
15.9 Interpretation. Headings are for convenience only. “Including” means “including without limitation”.
15.10 Entire agreement. This Agreement, with our Terms of Sale, Refund Policy, and Privacy Notice, is the entire agreement about the Software and replaces earlier understandings. It does not replace our separate website Terms, which cover our website only. Nothing here limits liability for fraud.
15.11 Changes. We may update this Agreement for future releases and purchases. The version you accepted when you purchased governs your purchase, except where a change is required by law or accompanies an update you choose to install.
